General Terms and Conditions for Users
Effective from: 29 July 2026
By accessing or using the services provided through a BlockDev partner's Partner Platform (hereinafter referred to as the “Partner Platform”), you (“User”, “you” or “Client”) agree to be bound by these General Terms and Conditions (the “Terms”).
These Terms constitute a legally binding agreement between you and BlockDev AD (“BlockDev”, “we”, “us” or the “Company”), a company incorporated under the laws of the Republic of Bulgaria, with company registration number 208043482 and registered office at 9A Pozitano Street, Office 12, Sofia 1000, Bulgaria. These Terms govern the use of the crypto-asset services provided by BlockDev AD through a Partner Platform, including, where applicable and within BlockDev AD's authorised regulatory scope: the exchange of crypto-assets for funds, the exchange of crypto-assets for other crypto-assets, the transfer of crypto-assets on behalf of clients, and the custody and administration of crypto-assets on behalf of clients.
The Partner Platform provides the client interface, technical integration and channel for submitting instructions. This does not alter BlockDev AD's role as the provider/principal of the relevant crypto-asset service where that service is provided by BlockDev AD. BlockDev AD is responsible for the applicable obligations relating to the crypto-asset services, including service transparency, RFQ quotations, execution of exchanges and transfers, custody and administration where applicable, AML/CFT/KYT checks, sanctions screening, transaction monitoring, compliance with the TFR/Travel Rule requirements, record-keeping, client disclosures and client protection.
For the avoidance of doubt, payment services, payment accounts, electronic money, open banking services, card payments, bank transfers, VIBAN services and other regulated payment functionalities are provided only by the relevant licensed payment service provider, electronic money institution, bank or other regulated partner, unless BlockDev AD expressly holds the applicable regulatory status required to provide the relevant service. In such cases, BlockDev AD acts solely in the applicable capacity, including as an agent or registered representative, where relevant.
USDC, EURC and other electronic money tokens (“EMTs”) are not provided by BlockDev as part of its transfer, custody or administration services unless expressly made available in the future on the basis of the required regulatory authorisation, updated client documentation and separate client acceptance.
By using the Partner Platform to access these services, you acknowledge and agree to comply with all provisions set out in these Terms.
Please read these Terms carefully, as they contain important information about your rights and obligations, as well as limitations and exclusions of liability applicable to your use of the services. If you do not agree to these Terms, you must immediately stop using or accessing the services provided by BlockDev through the Partner Platform.
1. General Provisions
1.1 Role of BlockDev
The Partner Platform provides the client interface, technical integration and channel for submitting instructions. This does not alter the role and responsibility of BlockDev AD as the provider of the relevant crypto-asset service. BlockDev AD is responsible for the applicable obligations relating to the services it provides, including service transparency, RFQ quotations, execution of exchanges and transfers, AML/CFT/KYT checks, transaction monitoring, compliance with the TFR requirements, record-keeping and client protection.
All interactions with BlockDev's services take place through the Partner Platform, which is responsible for the overall user experience and the delivery of the services through its interface.
1.2 Services Provided
The services provided by BlockDev AD through the Partner Platform may include only services that fall within BlockDev AD's applicable regulatory scope and are technically available through the relevant Partner Platform. Depending on the Partner Platform configuration, the client profile, jurisdiction, supported assets and applicable restrictions, the services may include:
1. Exchange of crypto-assets for funds (on-ramp) - the acquisition of a supported crypto-asset in exchange for official currency, where the relevant payment flow is processed through a licensed payment partner and BlockDev AD provides the crypto-asset service within the applicable CASP regime.
2. Exchange of crypto-assets for funds (off-ramp) - the exchange of a supported crypto-asset for official currency, with the fiat payout being made through a licensed payment partner where applicable.
3. Exchange of crypto-assets for other crypto-assets - an exchange between supported crypto-assets where the relevant service is available and permitted for the Client.
4. Transfer of crypto-assets on behalf of clients - the execution of instructions to transfer supported crypto-assets after completion of the applicable checks, including AML/CFT checks, sanctions screening, KYT/transaction verification, Travel Rule checks and internal limits.
5. Custody and administration of crypto-assets on behalf of clients - only where this service is expressly available to the relevant Client, falls within BlockDev AD's applicable regulatory scope, the supported crypto-asset is included in the register of supported assets, the Client has accepted the separate custody terms, and the relevant risk disclosures have been provided.
For the avoidance of doubt, BlockDev hereby informs you that the provision of custody and administration of crypto-assets on behalf of clients requires a standard agreement to be entered into between BlockDev and the Client. Acceptance of these Terms alone does not grant you access to the custody and administration service.
The services offered by BlockDev through the Partner Platform may include, without limitation, the following:
BlockDev supports on-ramp transactions (from official currency, or fiat, to crypto-assets) and, where available, off-ramp transactions (from crypto-assets to fiat) through the payment methods described below.
• Card-to-crypto transactions (where available): Users may purchase crypto-assets using Visa and Mastercard payment cards, including tokenised card payments such as Apple Pay and Google Pay.
• Local and alternative payment methods (where available): Users may fund purchases using local or alternative payment methods provided by one or more third-party payment partners.
• Off-ramp payout methods (from crypto-assets to official currency, where available): Users may receive fiat payouts to bank accounts and, where available, to payment cards or through money-transfer or card-payout systems, such as Visa Direct.
1.3 Services Provided Through Third Parties
BlockDev may facilitate access to certain payment, open banking, banking, card, on-ramp/off-ramp, settlement, custody-infrastructure or other technical services through licensed or registered third parties, including payment institutions, electronic money institutions, open banking service providers, banks, card acquirers, payment processors, wallet or technical infrastructure providers and other regulated partners.
Where a payment service, open banking service, safeguarding or holding of fiat funds, payment account, card service, banking service or other regulated service is provided by a third party, that service is provided by the relevant third party under its applicable terms and conditions, fee schedules, rules, policies and applicable national law. BlockDev is not deemed to be the provider of such a service unless expressly stated otherwise and only within the scope of the applicable registration, licence or agency arrangement.
Before or when using the relevant service, you will be informed through the Partner Platform, client interface, link, notice, checkbox or other durable medium about: the nature of the service; the entity providing it; the applicable terms and conditions; the applicable fees; the governing law; your principal rights; the complaints procedure; execution timeframes; refund and chargeback conditions, where applicable; and any restrictions relating to countries, payment methods or client profiles.
Where a service is provided by a licensed financial institution, payment service provider, electronic money institution, open banking provider or other regulated provider, the Client's rights in relation to that service shall be exercised in accordance with the relevant provider's terms and applicable law. BlockDev will provide the information available to it and assist in directing the Client to the relevant provider or Partner Platform where necessary.
BlockDev does not accept deposits, issue electronic money, independently open payment accounts or hold clients' fiat funds in its own capacity unless and to the extent that it is duly licensed or registered to do so. Where payment accounts, payment services or electronic money are made available to the Client, they are provided by the relevant licensed provider or through the applicable agency or partnership model.
Where BlockDev provides custody and administration of crypto-assets on behalf of clients, BlockDev remains the service provider to the Client. For technical storage, wallet infrastructure, signing, execution of validated instructions, technical records or other infrastructure components, BlockDev may use an external wallet or custody-infrastructure provider. Such external provider acts as a technical infrastructure provider and does not replace BlockDev as the service provider to the Client.
2. User Eligibility and Account Access
2.1 Eligibility Criteria
2.1 Eligibility Requirements
To access and use the services provided through the Partner Platform, you must satisfy the following eligibility requirements:
• You must be an adult, aged at least 18, or have reached the age of majority under the laws of your jurisdiction.
• You must be resident in a jurisdiction in which crypto-asset transactions and related services are permitted under applicable law.
• You must not be resident in or a citizen of any Restricted Jurisdiction, as described below.
• You must have accepted these Terms. Please note that we will not provide services to you before you have agreed to and accepted these Terms. Before accessing your account, a link to the Terms will be made available to you. You must read the Terms and tick the relevant box confirming your acceptance. By doing so, you agree to and accept the Terms, after which we may provide services to you.
2.2 Restricted Jurisdictions
Access to the Services is prohibited for natural and legal persons who are located, established, incorporated, registered or otherwise connected with countries or territories subject to sanctions, embargoes or other restrictive measures imposed by competent authorities, including, without limitation, the United States Office of Foreign Assets Control (“OFAC”), the European Union or other applicable national or international authorities. This includes jurisdictions subject to comprehensive sanctions regimes or material restrictions concerning financial services, crypto-assets or payment transactions.
BlockDev reserves the right, at its sole discretion, to refuse to provide services to, or restrict access for, persons from such jurisdictions.
By using the Services, you represent and warrant that you are not located, resident or established in a Restricted Jurisdiction and that you are not acting on behalf of a person subject to sanctions or restrictions.
If BlockDev determines that you fall within the scope of the restrictions described above, the Company may immediately terminate or restrict your access to the Services, including by suspending or closing your account, without prior notice.
2.3 Reverse Solicitation for Users Outside the EU
If you are not a citizen or resident of the European Union (“EU”), you acknowledge and agree that your use of the services provided by BlockDev is based on the principle of reverse solicitation. This means that you choose to access and use the services entirely on your own initiative, without any solicitation, advertising or marketing directed at you by BlockDev or its partners. By using the services, you confirm that you are fully aware of the legal and regulatory implications of accessing crypto-asset and financial services and that you do so voluntarily and at your own risk.
2.4 Account Creation
To use BlockDev's services through the Partner Platform, you may be required to create an account on the Partner Platform. The account-creation process may include the provision of personal information and identity verification as part of Know Your Customer (“KYC”) requirements. By creating an account, you agree to provide accurate, complete and truthful information. You are also responsible for maintaining the accuracy of your account information and updating it promptly whenever necessary.
You are solely responsible for safeguarding your login credentials and maintaining the security of your account. This includes keeping your username, password and any other authentication information confidential. You are fully responsible for all activity conducted through your account, including transactions initiated by third parties, whether authorised or unauthorised, where such activity results from your failure to safeguard your login credentials.
For the avoidance of doubt, BlockDev hereby informs you that the provision of custody and administration of crypto-assets on behalf of clients requires a standard agreement to be entered into between BlockDev and the Client. Acceptance of these Terms alone does not grant you access to the custody and administration service.
2.4 Account Responsibility
BlockDev is not liable for unauthorised access to your account, transactions initiated as a result of improper handling of or negligence in protecting your login credentials, or actions arising from unlawful or fraudulent activity initiated through your account. You agree to notify the Partner Platform immediately if you become aware of unauthorised access or suspicious activity relating to your account.
2.5 Acknowledgement of Crypto-Asset Risks
By intending to use crypto-asset-related services, you represent that you are informed of and understand the inherent risks associated with holding and transacting in crypto-assets. These risks include, without limitation, significant fluctuations in the value of crypto-assets, partial or total loss of invested funds, technological and operational risks, cyberattacks, interruptions or failures of distributed ledgers, and changes in the applicable regulatory environment.
The Client bears the risk of losses arising from market movements, the characteristics and operation of the relevant crypto-asset or the technology used, and other circumstances outside BlockDev's reasonable control, except where the relevant loss is caused by an act or omission of BlockDev for which the Company is liable under applicable law or these Terms.
Nothing in this clause excludes or limits any liability of BlockDev that cannot be excluded or limited under applicable law, including liability for damage to or loss of crypto-assets or funds where the relevant event is attributable to an act or omission of BlockDev.
BlockDev maintains insurance coverage for certain risks associated with the services it provides, subject to the terms, limits, exclusions and other restrictions of the applicable insurance policy. Where an event falls within the scope of such coverage, BlockDev will take the necessary steps to submit and administer the insurance claim. The existence of insurance does not automatically guarantee payment of compensation to the Client and does not extend BlockDev's liability beyond that provided for under applicable law and the insurance policy.
3. Transaction Execution and Risks
3.1 Transaction Process
BlockDev facilitates the secure transfer of funds, performs the necessary conversions and enables the movement of assets between financial institutions, partners and other service providers, if any, involved in the transaction.
Although BlockDev manages and executes transactions, all transactions are subject to the terms established by the Partner Platform. You acknowledge that the Partner Platform is responsible for facilitating your access to BlockDev's services, including managing user accounts and maintaining the user interface.
3.1.1 Payment Methods
Depending on the Partner Platform configuration and your location, you may be able to use one or more funding or payout methods (“Payment Methods”), including bank transfer/open banking, payment cards (Visa and Mastercard), tokenised card payments (Apple Pay and Google Pay), and other local or alternative payment methods provided through third-party partners.
3.1.2 Availability; Changes; Third-Party Partners
The availability of Payment Methods may vary depending on the country or corridor, the bank or card issuer, partner capabilities and your risk profile. BlockDev may route transactions through one or more third-party providers, such as banks, payment service providers, open banking providers, card acquirers or processors and other partners, and may add, remove, suspend or restrict Payment Methods where necessary for compliance, fraud prevention, network or partner rules, or risk management.
3.1.3 Crypto-Assets for Use on the Platform; Technical Address; Custodial Wallet
Where permitted by the Partner Platform and allowed under applicable law, the Client may acquire, exchange, transfer or use supported crypto-assets for purposes associated with the Partner Platform, including payments to merchants or other permitted transactions.
USDC, EURC and other electronic money tokens (“EMTs”) are not provided by BlockDev as part of its transfer, custody or administration services unless expressly made available in the future on the basis of the required regulatory authorisation, updated client documentation and separate client acceptance.
Depending on the relevant transaction flow, the Partner Platform or BlockDev may create or provide a limited-purpose technical blockchain address. Such technical address may be used solely for the execution or settlement of a specific transaction and does not constitute a general-purpose client wallet unless the Client has expressly accepted the separate custody and administration terms.
Where the Client uses custody and administration of crypto-assets on behalf of clients, BlockDev is the provider of that service to the Client. In such case, the Client's crypto-assets are held and administered on the Client's behalf through custody or wallet infrastructure that may be provided by an external technical provider. The external technical provider does not replace BlockDev as the provider of the service to the Client.
BlockDev maintains an internal register of client positions, applies rules for the segregation of client assets, performs reconciliation between its internal records, data from the external provider and on-chain balances, and executes instructions only after the required checks and approvals have been completed.
The Client understands that, when using a custody service, the Client may not have access to the private keys associated with the technical wallet infrastructure. Access, administration and transaction execution are carried out in accordance with BlockDev's procedures and the applicable custody terms.
The Client acknowledges that blockchain transactions are generally irreversible once confirmed; that sending assets to an incorrect or unsupported address, an unsupported network or an unsupported asset may result in permanent loss; and that BlockDev may refuse, delay, suspend or block a transaction due to AML/CFT, sanctions, KYT, Travel Rule, fraud, security, technical or regulatory risk.
3.2 Transaction Fees
Transaction fees may apply to any service provided by BlockDev, including, without limitation, the processing of crypto-to-fiat, fiat-to-crypto and crypto-to-crypto transactions. These fees will be disclosed by the Partner Platform before completion of each transaction. You agree to pay all applicable fees associated with your transactions.
3.2.1 Payment-Method Fees; Classification of Card Transactions
In addition to any fees charged by BlockDev or the Partner Platform, your selected Payment Method may involve additional fees charged by third parties, such as banks, card issuers, card networks, acquirers, processors, foreign-exchange service providers or local payment partners. Where you fund a purchase using a payment card, the transaction may, where applicable, be processed as an account funding transaction (“AFT”) or equivalent, which may be treated differently by your card issuer from a standard retail purchase.
3.2.2 Enhanced Authentication / 3-D Secure
Certain Payment Methods, including open banking and card payments, may require additional authentication, such as strong customer authentication (“SCA”) and/or 3-D Secure. You agree to complete all required authentication steps and acknowledge that failure to do so may result in the transaction being declined.
3.2.3 Refunds, Returns and Reversals
All refunds, returns, reversals and cancelled transactions, including those associated with card payments and AFT transactions, are processed in accordance with the rules, procedures and timeframes of the relevant Payment Method, the applicable card scheme, the payment-instrument issuer and/or the relevant third-party service providers.
Requests for refunds or transaction disputes must be submitted through the Partner Platform's official support channels. You may be required to provide additional information, documents or evidence in support of your request.
In the event of a chargeback, return or transaction reversal, the relevant amounts may be withheld, set off, adjusted or refunded in accordance with the applicable rules.
3.3 Transaction Confirmation
BlockDev is not liable for delays or errors in transaction processing caused by factors outside its control, including network congestion, system failures or delays in blockchain confirmations. BlockDev will use reasonable efforts to process transactions in a timely manner but does not guarantee that any transaction will be completed within a specified period.
3.4 Risks
By using BlockDev's services through the Partner Platform, you acknowledge that crypto-asset transactions involve inherent risks, including price volatility and the risk of loss resulting from market fluctuations. BlockDev is not liable for financial losses arising from those risks and is not responsible for the performance of assets exchanged through the services.
Where the Client uses custody and administration of crypto-assets, additional risks arise, including the risk of a technological incident, cyberattack, operational outage, incorrect instruction, incorrect address or network, delayed blockchain transaction, loss or compromise of access credentials, risks relating to an external wallet or custody-infrastructure provider, risks associated with forks, airdrops or network events, and the risk that a transaction may be delayed, refused or blocked for AML/CFT, sanctions, KYT, Travel Rule, fraud, security or technical reasons.
BlockDev applies internal policies and controls to mitigate these risks, including segregation rules, approval of instructions, access controls, monitoring, reconciliation and incident escalation. However, BlockDev cannot eliminate all risks inherent in crypto-assets, blockchain infrastructure and the use of external technology providers.
3.5 Suspicious Activity and Regulatory Compliance
BlockDev reserves the right to refuse, suspend or delay any transaction where it identifies suspicious activity or has grounds to believe that the transaction may be connected with money laundering (“ML”), terrorist financing (“TF”) or other unlawful activity. This includes transactions originating from blockchain addresses flagged as potentially connected with unlawful activity or transactions that appear to breach applicable laws or regulatory requirements.
If BlockDev identifies a “tainted” or suspicious blockchain address, it may take steps to block, suspend or cancel the transaction. You acknowledge that BlockDev's decision to refuse or delay a transaction in such circumstances is made at its discretion and that such actions are taken in accordance with anti-money laundering (“AML”), counter-terrorist financing (“CTF”) and other applicable regulatory frameworks.
3.6 No Guarantee of Completion
BlockDev does not guarantee the successful or timely completion of any transaction, particularly where delays or errors arise from circumstances outside BlockDev's control, such as technical blockchain issues, network congestion or other third-party failures. BlockDev also reserves the right to refuse to provide services or execute transactions where it has concerns relating to compliance, security or suspicious activity.
3.7 User Responsibility
You are solely responsible for ensuring that the information provided during the transaction process, including wallet addresses and transaction details, is accurate and compliant with applicable law. BlockDev is not liable for losses, delays or errors caused by inaccurate or non-compliant information provided by you.
4. Data Protection and Privacy
4.1 Collection and Use of Personal Data
By using the Partner Platform and BlockDev's services, you consent to the collection, storage and processing of your personal data by the Partner Platform and BlockDev in accordance with the General Data Protection Regulation (“GDPR”). The Partner Platform and BlockDev will process your data to facilitate transactions, comply with legal obligations and improve the services provided.
You have the right to access, rectify or erase your personal data in accordance with the GDPR. To improve your user experience, the Partner Platform and/or BlockDev may store a saved preference relating to the open banking method you most recently used. We do not store your online banking login credentials. This information is used solely to pre-populate or suggest the option you most recently used.
4.2 Data Security
BlockDev implements appropriate technical and organisational measures to protect your personal data against unauthorised access, disclosure or loss. However, you acknowledge that no method of transmitting data over the internet is completely secure and BlockDev cannot guarantee the security of data transmitted through the Partner Platform. The Partner Platform is responsible for the integrity and security of its own systems.
4.3 Data-Breach Notification
In the event of a personal data breach, BlockDev will notify the Partner Platform, which will in turn notify you in accordance with applicable data-protection laws. BlockDev will take appropriate measures to mitigate the harm caused by the breach.
5. Limitation of Liability
5.1 BlockDev's Liability
BlockDev is not liable for any direct, indirect, incidental, special or consequential loss or damage arising out of or in connection with the use of the Partner Platform or BlockDev's services, including, without limitation, financial losses, loss of profits, loss of data or unauthorised transactions.
BlockDev is not liable for any acts or omissions of the Partner Platform, including, without limitation, delays, errors, technical failures or fraudulent activities carried out through the Partner Platform.
5.2 No Warranty
BlockDev provides the Services on an “as is” and “as available” basis, without warranties of any kind, whether express, implied or statutory, including, without limitation, warranties of merchantability, fitness for a particular purpose, title, non-infringement or security. BlockDev does not warrant that the Services will be uninterrupted, error-free or free from harmful components.
5.3 Indemnification and Assumption of Risk
You acknowledge and agree that your use of BlockDev's services, including all transactions initiated through our platform, is subject to the following conditions:
1. Indemnification: To the extent permitted by law, you agree to release, defend, indemnify and hold harmless BlockDev, its affiliates, directors, officers, employees, agents and representatives (collectively, the “Indemnified Parties”) from and against any and all claims, damages, losses, liabilities, penalties, fines, costs and expenses, including reasonable legal fees and court costs, arising out of or relating to:
2. Your use or misuse of the Services, including, without limitation, initiating payments to a Partner or failing to make such payments.
3. Any inaccuracies, errors or omissions in the information or instructions you provide to BlockDev or its Partners.
4. Your breach of these Terms or any applicable laws, regulations or rules, including, without limitation, those relating to anti-money laundering, fraud prevention or financial regulation.
5. Any claims brought by third parties, including Partners, arising from your acts or omissions, whether intentional or unintentional, in connection with your use of the Services.
6. Any loss or damage caused by unauthorised access to your account, negligence in safeguarding your account credentials, or failure to notify BlockDev of any suspected unauthorised activity.
Assumption of Risk: You understand and acknowledge that crypto-asset transactions involve significant risks, including, without limitation:
(a) Market Volatility: Crypto-asset prices are highly volatile and may change significantly over short periods. You assume all risks associated with such price movements and acknowledge that BlockDev is not liable for changes in the value of crypto-assets before, during or after your transaction.
(b) Regulatory Risks: The regulatory environment for crypto-assets is continuously evolving. You are solely responsible for understanding and complying with the laws applicable to your use of the Services in your jurisdiction.
(c) Transaction Risks: Transactions carried out through the Services are irreversible once confirmed. BlockDev is not liable for losses arising from incorrect wallet addresses, payment details or other errors in your transaction instructions.
(d) Technology Risks: Crypto-asset transactions rely on blockchain technology, which may be subject to delays, errors or security vulnerabilities. You acknowledge and accept the inherent risks associated with blockchain technology, including potential network congestion, smart-contract bugs and other technical issues.
Limitation of Liability:
(a) To the maximum extent permitted by applicable law, BlockDev is not liable for any indirect, incidental, special or consequential loss or damage, or for any loss of profits, revenue, data or reputation, arising out of or in connection with the use of the Services, whether based in contract, tort (including negligence), strict liability or any other legal basis, even if the Company has been advised of the possibility of such loss or damage.
(b) BlockDev's total aggregate liability to you for any claims arising out of or relating to the Services shall not exceed the total amount of fees paid by you to BlockDev in connection with the specific transaction or transactions giving rise to such liability, or USD 100, whichever is lower.
6. Account Suspension, Termination and Deletion
6.1 Suspension and Termination of Access
BlockDev reserves the right to suspend or terminate your access to its services through the Partner Platform in the event of a breach of these Terms or unlawful activity, including, without limitation, fraud, non-compliance with applicable regulations or misuse of the services. BlockDev also reserves the right to terminate access where money laundering, terrorist financing or other unlawful activity is suspected.
6.2 Termination by the User
You may stop using the services at any time by discontinuing all transactions and closing your account on the Partner Platform. However, you will remain liable for all outstanding obligations or fees incurred before such termination.
6.3 Effect of Termination
Upon termination of your access to BlockDev's services, you must stop using all services and delete any confidential information relating to BlockDev and the Partner Platform in accordance with the Partner Platform's instructions.
Upon termination of a custody and administration service, BlockDev will take reasonable steps to return or transfer the Client's supported crypto-assets to an eligible address or wallet specified by the Client, provided that all applicable KYC, AML/CFT, sanctions, KYT, Travel Rule, security and technical checks have been completed.
BlockDev may delay, refuse or block a return or transfer where required by applicable law, a regulatory authority or internal policy, or where there is suspicion of fraud, sanctions risk, unlawful activity, an unsupported asset, an unsupported network, an incorrect address or technical impossibility.
7. Changes to These Terms
7.1 Amendments
BlockDev reserves the right to amend or update these Terms at its discretion. All changes will be communicated to the Partner by email, and the Partner Platform is responsible for informing you, as its Client, of those changes. Unless otherwise stated, amendments will take effect no earlier than thirty (30) days after the relevant notice is provided.
7.2 Right to Object
You have the right to object to any proposed amendments to these Terms during the thirty (30)-day notice period. Any objection must be submitted to the Partner Platform free of charge. If you do not object within that period and continue to use the services after the amendments take effect, you will be deemed to have accepted the revised Terms.
8. Governing Law and Dispute Resolution
8.1 Governing Law
These Terms are governed by the laws of the Republic of Bulgaria. Any dispute arising out of or in connection with these Terms shall be resolved in accordance with Bulgarian law.
For the avoidance of doubt, because you are a client of the Partner Platform, any legal relationship between you and BlockDev is indirect and dependent on the services provided through the Partner Platform. Nevertheless, the courts of the Republic of Bulgaria shall have exclusive jurisdiction over all disputes relating to these Terms or BlockDev's services.
8.2 Dispute Resolution
In the event of a dispute, the parties shall use good-faith efforts to resolve it amicably. If no agreement is reached, any dispute arising out of or in connection with BlockDev's services shall be submitted to the competent court in the Republic of Bulgaria.
Before referring a dispute to court, you must first raise it with the Partner Platform, which is your direct point of contact.
9. Final Provisions
9.1 Severability
If any provision of these Terms is found by a competent court to be invalid, unlawful or unenforceable, that provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable. If such modification is not possible, the relevant provision shall be deemed severed without affecting the validity and enforceability of the remaining provisions, which shall remain in full force and effect.
By using the Services, you expressly agree to these Terms and confirm that, in relation to crypto-asset services, BlockDev AD acts as the provider/principal of the relevant service provided through the Partner Platform. The Partner Platform serves as the client interface and technical channel for submitting instructions.
In relation to payment services, payment accounts, VIBAN, open banking or other regulated payment functionalities, BlockDev AD acts only in the applicable capacity, including as an agent of a licensed provider where relevant. BlockDev is not a provider of fiat-fund safeguarding or holding services, a broker or a financial adviser, and assumes no fiduciary duties towards you or any third party.
Before using the services provided through the Partner Platform, these Terms will be made available to you by means of a link. By accepting them, you confirm that you have read, understood and agreed to these Terms.
